1. Acceptance of Terms

By accessing or using Prominara's AI visibility optimization platform, you agree to be bound by these Terms of Service (“Terms”). Prominara is a Generative Engine Optimization (GEO) platform that monitors and improves brand visibility across AI search engines including ChatGPT, Perplexity, and Google AI Overviews. If you disagree with any part of these terms, you may not access our services.

These Terms apply together with our Privacy Policy, which explains how we collect and process your data.

2. Definitions

For the purposes of these Terms:

• Service refers to the Prominara web application, API, client portal, and all related tools and features available at prominara.com.
• User means any individual who creates an account or accesses the Service.
• Organization refers to a business entity or team that manages one or more Users and Sites within Prominara.
• Scan means an AI visibility analysis performed on a URL or website submitted through the Service.
• Content refers to all text, data, reports, scores, recommendations, and other materials generated by or submitted to the Service.

3. Description of Service

Prominara provides AI visibility monitoring and optimization tools designed for marketing teams, SEO professionals, and agencies. The platform includes:

• AI visibility scanning with scores across 4 categories: Content Structure, Entity & Topic, Authority Signals, and Technical Readiness
• Citation tracking across AI platforms including ChatGPT (OpenAI), Perplexity AI, and Google AI Overviews
• Share of Voice analysis comparing your brand visibility against competitors
• Automated monitoring with real-time alerts for visibility changes
• AI-powered content optimization recommendations
• White-label client portal and branded reports for agencies
• Industry benchmarking across multiple verticals

4. Account Registration and Security

To access the Service, you must register for an account using a valid email address or OAuth provider (Google, GitHub). You agree to:

• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials
• Promptly update your information to keep it current
• Accept full responsibility for all activities under your account
• Notify us immediately at contact@prominara.com of any unauthorized access

Organizations are responsible for managing team member access. Removing a team member revokes their access immediately.

5. Subscription Plans and Payments

Available Plans

Prominara offers tiered subscription plans (Free, Starter, Pro, and Agency) with varying scan limits, site allowances, and feature access. Current pricing and plan details are available on our pricing page.

Billing and Payment

Paid subscriptions are billed in advance on a monthly or annual basis through Lemon Squeezy, our payment processor. Annual plans receive a discount compared to monthly billing. You authorize us to charge your payment method for all fees incurred.

Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or unused portions of annual plans. Upon cancellation, your account access will be restricted until you resubscribe.

Price Changes

We reserve the right to modify our prices with 30 days' written notice via email. Existing annual subscribers retain their current pricing until their renewal date. Continued use after a price change constitutes acceptance of the new pricing.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, state, national, or international laws or regulations
• Infringe on intellectual property rights, trademarks, or copyrights of others
• Transmit malicious code, viruses, or attempt to interfere with the Service
• Attempt to gain unauthorized access to our systems, databases, or other users' accounts
• Scrape, crawl, or spider the Service beyond your plan's API rate limits
• Use automated tools to exceed your plan's scan or API limits
• Resell, sublicense, or redistribute our Service or API without written authorization
• Submit URLs containing illegal, harmful, or malicious content for scanning

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund.

7. Intellectual Property

Prominara's Rights

The Service, including its source code, algorithms, scoring methodology, user interface, documentation, and branding, is owned by Prominara and protected by international copyright, trademark, and intellectual property laws. The AI visibility scoring algorithm, GEO analysis engine, and platform architecture are proprietary to Prominara.

Your Content

You retain ownership of URLs, website content, and other materials you submit through the Service. By submitting content, you grant Prominara a non-exclusive, worldwide license to process, analyze, and store it solely for the purpose of providing our services.

Generated Content

Analysis results, scores, recommendations, and reports generated by the Service are licensed to you for your business use, including sharing with clients if you are on an Agency plan. Prominara retains the right to use the underlying methodologies, algorithms, and anonymized insights that power these outputs.

8. Aggregated and Anonymized Data

We may collect, aggregate, and anonymize data derived from your use of the Service (“Aggregated Data”). Aggregated Data does not identify you or any individual user. We may use Aggregated Data for:

• Improving and optimizing our platform features and algorithms
• Developing new products, services, and AI analysis capabilities
• Generating industry benchmarks, AI visibility trends, and market insights
• Training and improving our proprietary scoring models
• Publishing statistical analyses and research reports

By using our services, you grant Prominara a non-exclusive, worldwide, royalty-free license to use, process, and derive insights from Aggregated Data. Because Aggregated Data is fully anonymized and cannot identify you, this license continues after termination of your account.

9. Service Level and Availability

Prominara targets 99.9% uptime for the web application and API. Scheduled maintenance windows are announced at least 48 hours in advance via email and our status page. We are not liable for downtime caused by:

• Force majeure events (natural disasters, pandemics, government actions)
• Third-party service outages (Supabase, Vercel, OpenAI, Perplexity, Google)
• Your internet connectivity or hardware failures
• Scheduled maintenance performed during announced windows

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:

• The Service will be uninterrupted, error-free, or free of security vulnerabilities
• AI visibility scores will guarantee specific search engine rankings or AI citation outcomes
• Results from scans, recommendations, or reports will be complete or fully accurate
• Third-party AI platforms (ChatGPT, Perplexity, Google AI) will continue to operate in their current form

11. Limitation of Liability

IN NO EVENT SHALL PROMINARA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Prominara in the twelve (12) months immediately preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Prominara and its officers, directors, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you violate these Terms or our Acceptable Use Policy. Upon termination:

• Your access to the Service is revoked immediately
• Scan data and reports may be deleted after 30 days
• Payment obligations for the current billing period remain in effect
• Sections on intellectual property, limitation of liability, and indemnification survive termination

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Argentina, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of the City of Buenos Aires, Argentina. Nothing in these Terms limits your rights under mandatory consumer protection laws in your jurisdiction, including the right to bring claims in your local courts where required by applicable law.

15. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email and posted on this page with an updated “Last updated” date at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the revised Terms.

Yes. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months or annual plans. Your account access will be restricted upon cancellation until you resubscribe.

Who owns the data generated by Prominara scans?

You retain ownership of all URLs and content you submit. Reports, scores, and recommendations generated by the platform are licensed to you for your business use, including sharing with clients on Agency plans. Prominara retains rights to the underlying methodologies and may use anonymized, aggregated data for benchmarks and product improvement.

What is the uptime target for Prominara?

Prominara targets 99.9% uptime for the web application and API. This is a best-effort target, not a guaranteed SLA. Scheduled maintenance windows are announced at least 48 hours in advance.

Can I use Prominara to scan competitors without permission?

Yes. Prominara scans publicly available web pages, similar to how search engines like Googlebot and AI crawlers like GPTBot and ClaudeBot operate. You may scan any publicly accessible URL. However, you must not use the platform to scrape private or authenticated content.

What happens to my data if Prominara shuts down?

In the event of service discontinuation, we will provide at least 90 days notice and offer data export tools so you can download all your scan history, reports, and account data before the service ends.
